Job Description

GSPP is seeking a recent law graduate or a 3L expected to graduate in May 2023. The Associate Counsel will be an important contributor within a fast-paced company environment. This hands-on position requires a high attention to detail, superior communication skills, and the ability to work within a cross-functional team of professionals. The ideal candidate will demonstrate an entrepreneurial passion for renewable energy development and a desire to work with lenders, customers, contractors, and many other external parties. The Associate Counsel will assist in delivering first class legal support to various departments within GSPP. The ability to work both independently and provide team leadership and mentorship are critical to success in this company.

Primary Responsibilities

- Review, draft, and negotiate a wide range of corporate contracts and agreements including: Non-Disclosure (NDA), Membership Interest Purchase (MIPA), Engineering, Procurement, and Construction (EPC), Operation and Maintenance (O&M), Power Purchase (PPA), Land Lease, Land Purchase, commercial customer solar performance guarantee and warranty agreements
- Support Senior and General Counsel with loan document archiving, data tracking, and quality control initiatives
- Support and assist with financing and tax equity investment closings, which may include a first level review of loan documents, diligence assistance, and corporate document drafting as needed
Provide additional support where needed, which may also include a first level review of diligence items including title and survey

- Tallahassee, FL office: 1830 East Park Avenue, Suite 201, Tallahassee, FL 32301
- This is an in-office role
- Some travel may be required on an as-needed basis to our CT headquarters

Required Qualifications

- Recent law school graduate or 3L expected to graduate in May 2023
- A current license to practice in one or more US jurisdictions or expected to take the bar exam in July 2023
- Familiarity with corporate documentation including operating agreements, corporate agreements, and the diligence process
- A team player with the ability to work autonomously, proactively identify problems and solutions, and the ability to juggle competing priorities
- Analytical ability and superior attention to detail in a fast-paced, challenging environment
- Strong interpersonal skills, with the ability to communicate with people quickly and effectively at all levels, both internally and externally

Preferred Qualifications

- Prior experience with corporate drafting and negotiation
- Commercial real estate, commercial lending, insurance, or renewable energy experience a plus
